Professional Service Agreement
This Professional Service Agreement (“Agreement”) is deemed entered into as of the date of the associated Stripe payment and/or subscription is initiated (the “Effective Date”). This agreement is between Outbound Endurance (“Service Provider”), and the initator of the payment (“Client”).
1. Scope of Services
Section titled “1. Scope of Services”Service Provider shall provide professional outbound sales development services to the Client for the duration outlined in the associated Stripe agreement (e.g., a 30-day trial or an ongoing recurring subscription). The specific activities include:
Calling Schedule: Outbound calling activities will be conducted Monday through Friday.
Weekly Volume: Service Provider agrees to perform a minimum of 500 outbound dials per week on behalf of the Client.
System Integration: Appointments will be managed through the scheduling system of the Client’s choice.
2. Compensation
Section titled “2. Compensation”In consideration for the services provided, Client agrees to pay the fees as selected and outlined in the corresponding Stripe checkout or invoice.
Payment Terms: The specified amount (e.g., flat fee for a trial, or agreed-upon recurring monthly fee) is due upon execution of this Agreement via Stripe and prior to the commencement of services.
Non-Refundable: As this is a dedicated resource service, fees are non-refundable.
Holidays: Service Provider will observe the following holidays. These include:
- New Year’s Day (January 1)
- Memorial Day (Last Monday in May)
- Independence Day (July 4)
- Labor Day (First Monday in September)
- Thanksgiving Day (Fourth Thursday in November)
- Christmas Day (December 25)
No outbound calling activities will be performed on these holidays. The Client will not receive a refund or credit for any holidays observed by the Service Provider, and the Service Provider will not be required to make up for any decrease in outbound calling activities or appointments due to holidays.
Vacation: Service Provider will have for each month of service, 1 day of vacation time that can be used at the discretion of the Service Provider. Vacation days must be scheduled at least 2 weeks in advance and will not be taken during the first 30 days of service. During vacation days, the Service Provider will not perform outbound calling activities on behalf of the Client. The Client will not receive a refund or credit for any vacation days taken by the Service Provider, and the Service Provider will not be required to make up for any decrease in outbound calling activities or appointments during due to vacation days.
3. Client Responsibilities
Section titled “3. Client Responsibilities”To ensure the success of the service, the Client agrees to provide:
Sales Collateral: Access to necessary scripts, product information, and value propositions about their Clients and their current offer.
4. Term and Termination
Section titled “4. Term and Termination”Term: This Agreement is valid for the duration specified in the associated Stripe agreement or subscription (e.g., a 1-month trial, or a rolling month-to-month subscription).
Termination: Either party may terminate this Agreement for any reason. For recurring agreements, cancellation of the Stripe subscription constitutes notice of termination.
Continuation: Upon completion of a trial period (if applicable), the service may be renewed as a recurring agreement.
5. Confidentiality and Ownership
Section titled “5. Confidentiality and Ownership”Confidentiality: Both parties agree to keep all proprietary information, lead data, and trade secrets strictly confidential.
Work Product: All lead information that was paid for or generated by Outbound Endurance will remain sole property of Outbound Endurance. Any and all lead information pertaining to meetings scheduled for the Client during the agreement, including communication logs, lead statuses and/or lead contact information, shall be provided to the Client prior to the meeting and the Client shall have the right to use such information for any purpose.
6. Independent Contractor Status
Section titled “6. Independent Contractor Status”Service Provider is an independent contractor and not an employee of the Client. Nothing in this Agreement shall be construed to create a partnership, joint venture, or agency relationship.
7. Execution
Section titled “7. Execution”By initiating payment or starting a subscription via Stripe, the Client acknowledges and agrees to be bound by the terms and conditions set forth in this Agreement.
